Terms of service
Effective
These terms are the agreement between you and CalAlign, a New Zealand business, for your use of the CalAlign app, its booking links and this website. They are written to be read. Where a section treats business users and consumers differently, it says so.
Agreeing to these terms
By signing in to CalAlign or connecting a calendar, you agree to these terms and to the way we handle personal information described in our privacy policy. If you use CalAlign for an organisation, you confirm that you are authorised to accept these terms for it, and “you” then includes that organisation.
A person who only books a meeting through someone’s booking link is not signing up for CalAlign. The booking links section and the privacy policy still apply to that booking.
Accounts and organisations
- You must be at least 16 to use CalAlign.
- You sign in with a Google or Microsoft account. Keep that account secure, because anyone who can sign in as you can use CalAlign as you. Tell us at support@calalign.com if you think someone else has used your CalAlign account.
- A personal Google or Microsoft account gets its own CalAlign account, an organisation of one, and you are its owner. During early access, creating any new organisation, including an organisation of one, needs a joining code from us.
- A work or school account belongs to your organisation’s CalAlign account. The person who creates it becomes its owner. When a colleague signs in with the same Google Workspace domain or Microsoft tenant, their sign-in becomes a request to join, and an owner or administrator approves or declines it. An owner can turn on Auto-approve colleagues, and colleagues then join as soon as they sign in. Organisations we set up with you have it turned on. Anyone with an invitation from an owner or administrator joins without a request.
- Owners and administrators can invite and remove members, change their roles, set rules for connections, see the health of members’ connections, end sessions, read the audit trail and ask for a member’s data to be erased. Owners and administrators manage the organisation’s subscription. If the owner turns on delegated writes, administrators can add or change events in members’ connected calendars. The organisation is responsible for how its owners and administrators use these powers and for having the right to use CalAlign for its members.
- Connect only calendar accounts you are allowed to use, and turn on busy blocks only in calendars you are allowed to change.
Fees and payment
Price
CalAlign costs NZ$10 per user per month including GST in New Zealand, and US$6 per user per month including tax elsewhere. Stripe shows the price for where you are when you subscribe. Your subscription stays in the currency it started in. The price covers every CalAlign feature for each user, and there are no other fees. Each active member of your organisation’s CalAlign account counts as one user, whatever their role, with a minimum of one. People who have asked to join but are not yet approved, and invitations that have not been accepted, do not count. If you subscribe for an organisation, you confirm that you may commit it to paying, and the organisation is the customer.
Free trial
A new organisation gets a 14-day free trial from the day it is created, and you need no card to start it. There is no new trial for an organisation we deleted after it stayed read-only (described below). If an owner or administrator subscribes with more than two days of the trial left, the first payment is taken when the trial ends; otherwise it is taken when they subscribe. If the trial ends without a subscription, nothing is charged and your organisation becomes read-only (described below) until someone subscribes.
Billing and renewal
You subscribe from the billing page in the app, on payment pages run by Stripe, our payment provider. CalAlign never sees or stores your card number. Your subscription renews every month on the day it started, and at each renewal Stripe charges your payment method for the users active then. When people join or leave during a month, Stripe adjusts your next invoice in proportion to the days left: a charge for each user added and a credit for each user removed. Invoices are available from Manage billing in the app.
Read-only access
When your organisation has no active trial, subscription or fee waiver, it becomes read-only. Everyone can still sign in and see their data, owners and administrators can subscribe and manage members, and anyone can export or delete their data and disconnect calendars, which removes CalAlign’s busy blocks. CalAlign stops repairing busy blocks automatically, booking links stop taking new bookings, and other changes wait until someone subscribes.
Failed payments
If a payment fails, Stripe tries it again over the following days, and your organisation keeps full use of CalAlign for seven days after the failure. If the payment has still not gone through by then, your organisation becomes read-only until it does. If Stripe stops trying and the subscription ends, an owner or administrator can subscribe again from the billing page.
Cancelling
An owner or administrator can cancel at any time from Manage billing in the app. The subscription stays active until the end of the month already paid for, and then your organisation becomes read-only. We do not delete your data when a subscription ends. You can still export it, disconnect your calendars and ask us to delete it.
Organisations that stay read-only
If your organisation stays read-only for 90 days in a row, we email its owners and administrators a notice, and everyone in the organisation sees it in the app. The notice gives the date we will delete the organisation’s data, 30 days later. If someone subscribes or pays the overdue invoice before then, or we waive its fees, nothing is deleted and the notice is withdrawn. We delete nothing unless the notice reached at least one owner or administrator by email. If the organisation becomes read-only again later, a new 90 days start.
On the date in the notice we delete the organisation’s data: its members, invitations, calendar connections and stored access, copies of events, protection setups, booking links, bookings and settings. We cancel any unpaid subscription, try to remove the busy blocks CalAlign wrote in your calendars, and revoke CalAlign’s access at Google. The privacy policy lists what we keep after a deletion.
This does not apply to organisations we set up with you during early access. Only CalAlign can pause a deletion, for example while the law requires the data to be kept. If that applies to your organisation, email support@calalign.com before the date in the notice. When the pause ends we send a new notice and wait another 30 days. The legal hold setting in the app does not pause a deletion.
An organisation deleted this way that signs up again gets no new free trial. It stays read-only until it subscribes.
Refunds
Payments are not refundable, including for the rest of a month after you cancel, except where we billed you in error or the law requires a refund. A user removed during a month is credited on your next invoice, not refunded. Nothing in this section limits your rights under the Consumer Guarantees Act 1993 if you are a consumer.
Price changes
We may change the price. We will tell your organisation’s owners at least 30 days before a new price applies to you, and it takes effect from your first renewal after that notice. If you do not want to pay the new price, cancel before then.
GST and tax
Both prices include tax: GST in New Zealand, and elsewhere the sales tax, VAT or GST we charge where you are. Stripe works out the tax from the billing address you give on its payment page and shows it on your invoice, and the amount you pay stays the same whatever the tax comes to. You can add your organisation’s tax number on that page, and the invoice shows it. You are responsible for any tax your own country makes you account for yourself, such as a reverse charge.
Early access and joining codes
CalAlign is in early access. Sign-up is closed, and creating a new organisation needs a joining code from us. Some joining codes also waive fees: an organisation created with one, or whose owner enters one in the app, is not charged and needs no card while the waiver lasts. Organisations we set up with you during early access are not charged either, and we will tell them at least 30 days before that changes.
We can end a fee waiver. If we do, the billing page shows the date it ends, at least 30 days ahead. After that date your organisation needs a subscription to keep full use of CalAlign, and nothing is charged unless an owner or administrator subscribes. A joining code is for the person we gave it to: keep it private, and do not share, publish or sell it.
Your calendar providers
CalAlign works with calendars hosted by Google, Microsoft and Apple. Your use of those services stays under their terms, and you need a working account with each provider you connect. When you connect an account, you authorise CalAlign to read the calendars you choose and, for each calendar where you turn on busy blocks or choose it for a booking link, to create, change and delete the busy blocks and booked meetings that CalAlign created there. CalAlign does not change or delete any other event in your calendars.
We do not control those providers. They can change their services, limit how often CalAlign may reach them, have outages, or withdraw CalAlign’s access. When that happens CalAlign may be slower, incomplete or unable to work with that provider, and we are not responsible for their services. We will tell you in the app when a connection needs your attention.
Your content and our licence to use it
Your calendar events, the details of people who book with you and the settings you create remain yours. You give CalAlign a non-exclusive, royalty-free licence to store, copy, process and transmit that content only as needed to provide CalAlign to you, to keep it secure and to meet our legal obligations, as described in the privacy policy. The licence ends when the content is deleted from CalAlign, except for copies held in backups until they expire. We do not claim ownership of your content and we do not sell it or use it for advertising.
You are responsible for having the right to give us this content, including other people’s information that sits in your calendars. If you send us ideas or feedback, we may use them without owing you anything.
Acceptable use
When you use CalAlign, you must not:
- break the law, or help anyone else break it;
- use booking links to send spam, to harass anyone, or to collect people’s details for purposes they did not agree to;
- try to reach another person’s account, calendars or data, or get around our security, rate limits or access controls;
- guess joining codes, share or sell a joining code, or try to avoid the fees for the users your organisation has;
- connect a calendar account you are not allowed to use;
- put heavy or automated load on CalAlign or on a calendar provider through CalAlign, beyond normal use of the app and its documented API;
- copy, decompile or reverse engineer CalAlign, except where the law allows it despite this term;
- resell CalAlign or offer it to others as a service without our written agreement;
- use CalAlign in a way that breaks a calendar provider’s terms.
Booking links
If you share a booking link, you are responsible for where you share it and for how you use the names and email addresses of the people who book. Use them only to arrange and hold the meeting, and handle them under the privacy laws that apply to you. CalAlign does not send invitation emails; if the person booking needs an invitation, send it yourself. If you book through someone’s link, your booking is an arrangement with that person, not with CalAlign.
What CalAlign does and does not promise
CalAlign is in early access. We work to keep it running and correct, but we do not promise that it will be available at all times, that every change in your calendars will appear within a set time, or that it will catch every conflict. CalAlign helps protect your time; it does not replace your own judgement about your calendar, and you remain responsible for the meetings you accept.
We may change, add or remove features. If we plan to remove a feature you use or make a change that affects what CalAlign writes to your calendars, we will tell you beforehand where we reasonably can.
Suspension and ending your use
You can stop using CalAlign at any time. Cancel your organisation’s subscription as described in Cancelling, disconnect your accounts in the app, which removes the busy blocks CalAlign wrote, and email privacy@calalign.com if you want everything else deleted.
We may suspend or end your access if you seriously or repeatedly break these terms, if your use puts other users, CalAlign or a calendar provider at risk, if an organisation was created or kept free by misusing a joining code, or if the law requires it. Where it is safe and lawful, we will tell you first and give you a chance to fix the problem. We may also stop offering CalAlign altogether, and if we do, we will give you at least 30 days’ notice so you can get a copy of your data and remove CalAlign’s busy blocks, and we will refund any payment for the time after CalAlign stops.
Getting your data and deleting it
Your events stay in your Google, Microsoft and Apple calendars, so you keep them whatever happens to CalAlign. You can ask us for a copy of the information CalAlign holds about you, in a machine-readable format (JSON), and we will send it within 20 working days. When you ask us to delete your data, or your use of CalAlign ends, we delete it as the privacy policy describes. Organisation owners and administrators can export their audit trail from the app.
Our software
CalAlign, including its software, design and name, belongs to us. While you use CalAlign under these terms, we give you a personal, non-exclusive right to use it for yourself or for your organisation. These terms do not give you any other right in it.
Consumer law
If you are a consumer, nothing in these terms limits your rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law that cannot be excluded.
If you use CalAlign for the purposes of a business, you are acquiring it in trade. In that case you and CalAlign agree that the Consumer Guarantees Act 1993 does not apply, as section 43(2) of that Act allows, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, as section 5D of that Act allows. We both agree that this is fair and reasonable, because CalAlign is a business tool you can try free before you pay, you can cancel at any time, and you can decide whether it suits your business.
Liability
To the extent the law allows, CalAlign is not liable to you for indirect or consequential loss, lost profits, revenue or business opportunities, missed or double-booked meetings, or loss caused by a calendar provider’s service, whether the claim is in contract, in tort (including negligence) or otherwise.
To the extent the law allows, our total liability to you for all claims connected with CalAlign in any 12-month period is limited to the greater of the fees you paid us in that period and NZ$100.
These limits do not apply to liability that the law does not allow us to limit, such as liability for fraud, or to the rights of consumers described above.
Indemnity
If you use CalAlign for a business, you agree to cover CalAlign’s reasonable losses and costs from a claim by someone else that arises because you broke these terms or the law when using CalAlign, for example by misusing the details of people who booked with you. This does not apply to the extent CalAlign caused the loss.
Changes to these terms
We may update these terms as CalAlign changes. The effective date at the top shows when they last changed. If a change reduces your rights or adds a fee, we will tell you at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you do not agree to a change, stop using CalAlign before it takes effect; if you keep using it after that, the new terms apply.
Law and disputes
New Zealand law governs these terms, and the courts of New Zealand have exclusive jurisdiction over any dispute about them. If you are a consumer living in another country, you keep any protection the law of that country gives you that cannot be excluded by agreement. Before going to court, please contact us so we can try to sort the problem out together.
General
- These terms and the privacy policy are the whole agreement between you and CalAlign about CalAlign.
- If a court finds part of these terms unenforceable, the rest still applies.
- If we do not enforce a term straight away, we can still enforce it later.
- We may transfer these terms to a new owner of the CalAlign business, and will tell you if we do. You may not transfer them without our written agreement.
- We are not responsible for delays or failures caused by events beyond our reasonable control, such as a calendar provider or cloud provider outage.
